TepinTasks Terms of Service

1. Agreement to These Terms

Effective Date: October 19, 2026 · Version: 2.1

These Terms of Service (“Terms”) are a binding agreement between you and Spicy Technology Group, LLC, d/b/a TepinTasks, a Florida limited liability company (“TepinTasks,” “we,” “us”). They govern your access to and use of tepintasks.com and its subdomains, the TepinTasks web application, the iOS and Android apps, our APIs and integrations, and all related features (together, the “Service”).

By creating an account, clicking “I agree,” or using the Service, you accept these Terms and our Privacy Policy. If you accept on behalf of an organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Service.

These Terms contain a jury-trial waiver and a class-action waiver in Section 16.

3. Eligibility and Accounts

3.1 Eligibility. You must be at least 18 and able to form a binding contract. The Service is for business and professional use. Separately branded offerings built on the Service may have their own eligibility terms, which govern where they apply.

3.2 Account Information. You must provide accurate registration information, including your legal name, and keep it current. One Account per person or entity unless we agree otherwise.

3.3 Security. You are responsible for keeping credentials confidential and for all activity under your Account. Notify us promptly at support@tepintasks.com of any unauthorized use.

3.4 Authorized Users and External Participants. You are responsible for your Authorized Users’ compliance with these Terms. You must have any notices and consents required to invite External Participants and to process their information through the Service. An External Participant who confirms a request or enrollment may be given a TepinTasks account, and these Terms then apply to them.

4. License and Restrictions

4.1 License. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during your subscription. The right covers your own and your clients’ internal business operations.

4.2 Restrictions. You shall not, and shall not permit anyone to:

  1. copy, modify, or create derivative works of the Service, or of its user interface, workflows, features, documentation, or methodology;
  2. reverse engineer, decompile, disassemble, or attempt to derive source code, models, prompts, system instructions, or underlying structure, except to the extent applicable law expressly prohibits this restriction;
  3. scrape, crawl, or use automated means to access or extract data, Output, designs, or content, except through the TepinTasks Zapier app, the TepinTasks MCP connector, or any API for which we publish documentation, each used as documented;
  4. access or use the Service to build, design, train, benchmark, or inform a Competing Product, or to copy any feature, function, workflow, or interface of the Service;
  5. extract or attempt to extract system prompts, AI personas, or model configurations, including through prompt injection;
  6. resell, sublicense, rent, or provide the Service to third parties, except as the Service’s sharing features allow or under a written TepinTasks partner, distributor, or reseller agreement;
  7. share login credentials, or let one license be used by more than one person;
  8. interfere with, disrupt, overload, or probe the security of the Service, or circumvent usage limits or metering;
  9. use the Service for unlawful, harmful, deceptive, infringing, or abusive purposes, or to send spam;
  10. upload malware, or content you lack the right to process;
  11. remove or alter proprietary notices;
  12. publicly disseminate performance or functionality analyses of the Service without our written consent.

5. Competitors

5.1 No Competitor Access. You may not access or use the Service if you develop, own, or materially contribute to a Competing Product, or if you access the Service on behalf of, or for the benefit of, an organization that does, unless we consent in writing. Using the Service to monitor its availability, performance, or functionality for competitive purposes is prohibited. Working with clients who use or build other software is not by itself a breach of this Section.

5.2 Disclosure. If you begin developing a Competing Product while you have an Account, you must notify us at legal@tepintasks.com within ten (10) days.

5.3 Our Rights. If we reasonably believe you are using the Service in violation of this Section 5 or Section 4.2(4), we may immediately suspend or terminate your Account without refund. We may also pursue any remedy under Section 16.

6. Customer Content and Data

6.1 Your Ownership. As between you and us, you own your Customer Content. Subject to Section 7, you also own the Output you generate.

6.2 License to Us. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Content as needed to provide, secure, and support the Service. This includes sending it to our subprocessors and AI providers as described in the Privacy Policy.

6.3 Usage Data. We may collect and use technical, usage, and performance data about how the Service is used. We may also create aggregated or de-identified data from your use. We own this data and may use it to operate, secure, and improve the Service, provided it does not identify you or your Authorized Users.

6.4 Your Responsibilities. You represent that you have all rights and consents needed for the Customer Content you submit. That includes recordings, transcripts, client information, and third-party materials you load into data stores or coaches. You are responsible for its accuracy and legality.

6.5 Export and Deletion. While your Account is active, you may export Customer Content using the export tools in the Service. You may request deletion of your Account and Customer Content by contacting support@tepintasks.com; we will complete the deletion within seven (7) days of verifying the request, except where retention is required by law or for backups on their normal rotation. After termination, we may delete Customer Content after ninety (90) days.

7. AI Features

7.1 Nature of AI. The Service includes features powered by third-party AI models, including TEP, task assistants, AI coaches, Talk-to-Task, image data extraction, and data store queries. Some AI features may send queries to a web search service to answer your request. Output is generated probabilistically. It may be inaccurate, incomplete, or similar to output given to others. You are responsible for reviewing Output before relying on it.

7.2 No Professional Advice. Output is not legal, financial, medical, tax, or other professional advice.

7.3 AI Coaches. If you build an AI coach:

  • you are responsible for its source material, persona, and any statements it makes on your behalf;
  • you must not build a persona that imitates a real person without that person’s authorization;
  • you may receive transcripts of Authorized Users’ and External Participants’ conversations with your coach where they have consented to share them, and you must tell them this before they use it.

If you use someone else’s AI coach, its owner can see your conversations with it where you have consented to share them.

7.4 Providers and Training. Prompts, Customer Content, and Output are processed by AI providers we select, under terms that prohibit them from training their models on your data. We do not use your Customer Content to train AI models.

7.5 Usage Limits. AI features may be subject to usage limits, metering, token allowances, or prepaid wallets, as described in Section 9.

7.6 AI Clients and Tools You Connect. You may connect your own AI clients to the Service (for example, through the TepinTasks MCP connector), and you may configure third-party tools or MCP servers for the Service’s AI features to use. Data you send to those clients and tools is governed by their providers’ terms, not ours. If you configure a third-party MCP server, its address and the credentials you provide are passed to our AI provider so it can make those calls on your behalf.

8. Third-Party Services

The Service integrates with third-party services you choose to connect, including Google, Microsoft (including OneDrive, Teams, Outlook calendar, and contacts), GitHub, Stripe, Zapier, and calendar and email providers. Your use of those services is governed by their terms. You authorize us to access and exchange data with them as needed for the integration. We are not responsible for third-party services, and they may change or stop working without notice. Our use of data received from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements.

9. Subscriptions, Fees, and AI Usage

9.1 Plans and Fees. Fees are as stated on our pricing page or order form at purchase. They are payable in advance in U.S. dollars and exclude taxes, which you are responsible for. Monthly plans bill on the first day of each month; your first charge is prorated from your start date to the first of the following month.

9.2 Auto-Renewal. Subscriptions renew automatically for the same term unless you cancel before renewal through the billing portal in your account settings. We charge your payment method on file at each renewal.

9.3 Price Changes. We may change prices on at least thirty (30) days’ notice. A change takes effect at your next renewal.

9.4 Refunds. Fees are non-refundable except as required by law or as stated in these Terms. Downgrades take effect at the next renewal.

9.5 Free Trials and Complimentary Licenses. We may offer free trials, promotional, partner evaluation, or other complimentary access. Complimentary access:

  • is at our sole discretion;
  • expires on the stated date, or when we end it;
  • may be modified or revoked at any time without notice;
  • is provided “as is” with no service commitments.

These Terms, including Sections 4 and 5, apply in full to complimentary access.

9.6 AI Usage and Tokens. Some AI features consume tokens metered by model, operation, and volume. We may (a) set usage limits by plan; (b) require prepaid tokens or a usage wallet; (c) charge for usage above included amounts at posted rates; and (d) pause metered AI features when limits are reached or your balance is zero. Unused tokens included with your plan carry forward, up to a maximum balance of two times your plan’s monthly allowance; amounts above that maximum expire. Purchased tokens expire twelve (12) months after purchase. Tokens are non-refundable and have no cash value.

9.7 Late Payment. If payment fails, we may suspend the Service after notice until it is paid.

9.8 Referral Associations. The Service records which account referred each new account. Recording a referral does not create any right to a commission or other payment. Commissions are payable only to partners who have signed a TepinTasks Partner Agreement, and only on its terms.

10. Non-Public Features and Confidentiality

10.1 Confidential. Non-Public Features, and anything we show or tell you about them in betas, webinars, demos, partner or customer sessions, or staging environments, are our confidential information. Use them only to evaluate or use the Service. Do not disclose them, and do not use them to develop or inform a Competing Product.

10.2 No Recording. You may not record, screen-capture, or transcribe our demonstrations, webinars, or live sessions, including with AI note-takers, without our written consent. Public recordings we publish ourselves are excepted.

10.3 As-Is. Non-Public Features are provided “as is.” They may change or be discontinued, and they are excluded from any service commitments.

10.4 Duration. These obligations continue for three (3) years after your last access to the Non-Public Feature. For trade secrets, they continue for as long as the information remains a trade secret.

11. Feedback

If you give us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and exploit it for any purpose, without obligation or compensation to you. Feedback is not your confidential information.

12. Our Intellectual Property

The Service and everything in it belong to TepinTasks and its licensors and are protected by copyright, trademark, trade secret, and other laws. That includes software, designs, user interface, workflows, features, documentation, templates we provide, AI personas and prompts we create, and the TepinTasks®, TEP™, Talk-to-Task™, and QuestLink™ names and logos. We reserve all rights not expressly granted. Nothing in these Terms transfers any of our intellectual property to you.

13. Suspension and Termination

13.1 By You. You may cancel at any time through the billing portal in your account settings. Cancellation takes effect at the end of the current billing period.

13.2 By Us. We may suspend or terminate your Account, or any Authorized User’s access, immediately on notice if:

  • you breach these Terms, including Sections 4, 5, or 10;
  • you fail to pay;
  • your use poses a security, legal, or operational risk;
  • we are required to by law.

We may also terminate for convenience on thirty (30) days’ notice, with a pro-rated refund of prepaid fees for the unused period.

13.3 Effect. On termination, your right to use the Service ends, and Section 6.5 governs your Customer Content. Termination for your breach does not entitle you to any refund.

13.4 Survival. Sections 2, 4.2, 5, 6.3, 6.5, 7.2, 9.8, and 10 through 18 survive termination, as does any unpaid fee obligation.

14. Disclaimers

THE SERVICE, OUTPUT, AND NON-PUBLIC FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.

15. Limitation of Liability and Indemnification

15.1 Exclusion. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

15.2 Cap. OUR TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR COMPLIMENTARY ACCESS, THE CAP IS ONE HUNDRED DOLLARS ($100).

15.3 Exceptions. Sections 15.1 and 15.2 do not limit your liability for:

  • breach of Section 4.2, 5, or 10;
  • infringement or misappropriation of our intellectual property;
  • your indemnification obligations;
  • unpaid fees.

15.4 Indemnification. You shall defend, indemnify, and hold harmless TepinTasks and its affiliates, officers, employees, and agents from third-party claims, losses, and expenses, including reasonable attorneys’ fees, arising from:

  • your Customer Content;
  • your or your Authorized Users’ use of the Service or Output;
  • your AI coaches and their statements;
  • your breach of these Terms or of law.

16. Governing Law, Disputes, and Remedies

16.1 Governing Law. Florida law governs these Terms and any dispute relating to the Service, without regard to conflict-of-laws rules.

16.2 Venue. Exclusive venue lies in the state and federal courts in Orange County, Florida, and you consent to personal jurisdiction there.

16.3 Jury and Class Waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND TEPINTASKS EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

16.4 Injunctive Relief. A breach of Section 4.2, 5, 10, or 12 may cause us irreparable harm for which damages are inadequate. We may seek injunctive or equitable relief in any court of competent jurisdiction, without posting bond to the extent permitted by law.

16.5 Attorneys’ Fees. In any action to enforce these Terms, the prevailing party may recover its reasonable attorneys’ fees and costs.

16.6 Time to Bring Claims. Any claim against us must be brought within one (1) year after it arises, to the extent permitted by law.

17. Changes to These Terms

We may update these Terms. We will post the updated version with a new effective date and notify you by email or in the Service. For material changes, we will give at least thirty (30) days’ notice and may ask you to accept again. Continued use after the effective date means you accept the updated Terms. Prior versions are available on request.

18. General

18.1 Entire Agreement. These Terms, the Privacy Policy, and any order form or plan description are the entire agreement on their subject. If you are an approved TepinTasks partner, the Partner Agreement also applies and controls as to the partner program.

18.2 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

18.3 Notices. We may notify you by email to your Account address or in the Service. Legal notices to us go to legal@tepintasks.com and to our mailing address below.

18.4 Electronic Communications. You consent to receive communications electronically. Electronic notices and agreements satisfy any legal requirement that they be in writing.

18.5 Severability and Waiver. An unenforceable provision is modified to the minimum extent necessary, and the rest remains in effect. Failure to enforce a provision is not a waiver.

18.6 Force Majeure. Neither party is liable for delays caused by events beyond its reasonable control. Payment obligations are not excused.

18.7 Export and Sanctions. You will comply with U.S. export control and sanctions laws.

18.8 Independent Parties. No partnership, agency, or employment relationship is created.
